Server 2003 to Server 2003 R2 Upgrade Activation Problem

i upgraded server 2003 r2 standard server 2003. when log in console, after accepting validating password
shows dialog reading:

copy of windows must activated microsoft before can
continue. cannot log on until activate windows. want to
activate windows now?
shut down computer, click cancel.
[yes][no][cancel]

yes , no have same effect - saving settings message , then
returns enter ctrl-alt-del logon dialog box. cancel shuts down as
says. nothing lets me activate on internet nor gives me a
way activate on phone, logs me out.

has else run issue?
